1. Acceptance of terms

Welcome to PAYCARY. By accessing or using our escrow platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use our Services. These Terms constitute a legally binding agreement between you and PAYCARY.

2. Eligibility

By using PAYCARY, you represent and warrant that:

• You are at least 18 years old and have the legal capacity to enter into a binding contract.
• You are not located in a country subject to trade sanctions or embargoes.
• You will provide accurate, current, and complete information during registration and transaction processes.
• Your use of the Services complies with all applicable laws and regulations.

3. Account registration and security

To use certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. PAYCARY reserves the right to suspend or terminate accounts for any suspected breach of security.

4. Escrow services and transaction process

PAYCARY acts as a neutral intermediary to facilitate secure transactions. The general process is as follows:

1. Initiation: Buyer and seller agree on terms and create a transaction on PAYCARY.
2. Funding: Buyer submits payment to PAYCARY. Funds are held in a segregated trustee account.
3. Shipping/delivery: Seller ships the goods or provides the service. Tracking may be required.
4. Inspection: Buyer has a defined inspection period (e.g., 48 hours) to verify the item.
5. Completion: Buyer approves release, and PAYCARY transfers funds to the seller (minus applicable fees).

If the buyer does not approve or raise a dispute within the inspection period, funds may be released automatically. Detailed transaction terms are shown during deal creation.

5. Fees

PAYCARY charges fees for escrow services. Fees are displayed transparently before a transaction is initiated. Unless otherwise agreed, the party initiating the transaction is responsible for the fees, or as specified in the deal. All fees are non-refundable except as required by law or in case of PAYCARY error.

6. Prohibited activities

You may not use PAYCARY for any illegal or unauthorized purpose. Prohibited activities include, but are not limited to:

• Fraud, money laundering, or terrorist financing.
• Sale of counterfeit goods, stolen property, or items that infringe intellectual property.
• Weapons, ammunition, illegal drugs, or prescription medications without valid prescription.
• Any transaction that violates applicable export control or sanctions laws.
• Interfering with the security or functionality of the platform.

7. Dispute resolution

If a disagreement arises between buyer and seller, PAYCARY offers a structured dispute resolution process:

• Either party may open a dispute within the inspection period or as otherwise provided.
• Both parties may submit evidence (photos, tracking, messages).
• PAYCARY will review the evidence and make a fair decision, which may include releasing funds to the seller, refunding the buyer, or splitting the amount.
• Decisions made by PAYCARY are final and binding, subject to applicable law.

We encourage users to communicate and resolve issues amicably before escalating.

8. Limitations of liability

To the maximum extent permitted by law, PAYCARY and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with these Terms or the use of our Services. Our total liability shall not exceed the amount of fees paid by you in the six months preceding the claim.

9. Termination

You may terminate your account at any time by contacting support. PAYCARY may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. Upon termination, you remain liable for any pending transactions and fees incurred.

10. Changes to these terms

We may revise these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice on our platform. Your continued use of PAYCARY after such notice constitutes acceptance of the revised Terms.

11. Governing law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Lagos, Nigeria.
